Welcome to Cazoodle Inc. ("Cazoodle", "we", "us", or "our"). These Terms of Use (this "Agreement") govern your access to and use of all Cazoodle websites, platforms, applications, and services, including:
GrantForward (grantforward.com) — a platform for discovering and tracking funding opportunities such as research grants, fellowships, awards, prizes, and internships from sponsors including federal, state, foundation, and academic sources.
Academic Online (academic.online) — a platform for automated research profiling, faculty discovery, academic collaboration, benchmarking, and grant matching for researchers and institutions.
(GrantForward and Academic Online are together referred to as the "Services" or individually a "Service".)
By accessing or using any of the Services — whether as a free registrant or a paid subscriber — you agree to be legally bound by this Agreement. If you do not agree, please do not use the Services. This Agreement includes Cazoodle's Privacy Policy and any guidelines or notices posted on the Services, all of which are incorporated by reference.
This Agreement is an electronic contract. By accessing the Services, you consent to receive this Agreement electronically. To retain a copy, please save or print it. A paper copy is available on request at support@cazoodle.com; note that your account may be suspended pending return of a signed paper copy if requested.
GrantForward provides users with aggregated funding opportunities — including research grants, fellowships, awards, prizes, and internships — from multiple sponsor types such as federal/national, state/provincial, foundation, and academic organizations. GrantForward may also deliver service announcements, administrative messages, and survey invitations as part of free registration and paid subscriptions.
Academic Online is a comprehensive platform for the academic community, offering:
Advanced Search & Discovery: AI-powered tools to detect emerging research trends, identify faculty, and explore academic databases.
Strategic Benchmarking & Impact: Assess research influence, track societal impact, and benchmark performance against peers.
AI Collaboration & Team Building: Model high-performing teams and uncover collaboration patterns across academia, industry, and government.
Faculty Profiling & Management: Researchers can control their profiles, showcase expertise, and manage CVs for internal and external visibility.
Public Engagement & Reputation: Promote research achievements to media, funders, and the public.
Smart Funding Opportunities: Receive personalized grant recommendations and identify the right collaborators for proposals.
Academic Online includes Academic Explore (tailored for individual U.S. researchers) and AI Solutions for Organizations (including Public Profile capabilities for institutions).
From time to time, new features may be added to any of the Services that are described as "beta" ("Beta Features"). By using a Beta Feature, you acknowledge that it may be untested, non-functional, or only partly functional, and you do so at your own risk. NOTWITHSTANDING ANYTHING ELSE IN THIS AGREEMENT, CAZOODLE DOES NOT WARRANT THAT BETA FEATURES WILL BE PROVIDED WITH DUE CARE. Beta Features may harm or interrupt your software and/or hardware. All provisions of this Agreement apply to Beta Features.
You must be at least 18 years of age to subscribe to the Services. Membership is void where prohibited by law. By using the Services, you represent and warrant that you have the right, authority, and capacity to enter into this Agreement.
This website's content is intended for adults. We will not knowingly collect personal information from children under 13. Parents or guardians who believe a child under 13 has submitted personal information should contact support@cazoodle.com immediately.
You must be a human. Accounts registered by bots or other automated methods are not permitted. You must provide your full legal name, a valid email address, and any other information required to complete the registration or subscription process. Each login may only be used by one person — sharing a single login among multiple users is not permitted. You are responsible for maintaining the security of your account and password. Cazoodle is not liable for any loss or damage from your failure to maintain account security.
You may register as a free user of the Services. As a free registrant, you will have access to some, but not all, features.
To access additional features on either GrantForward or Academic Online, you must become a paying subscriber, or be affiliated with an institutional subscriber (including full and part-time employees, faculty, staff, independent contractors, and students of the subscribing institution, regardless of physical location).
Please visit the applicable Service's subscription page or contact us at support@cazoodle.com for current subscription plans and pricing. Subscription Policies form part of this Agreement. Subscription fees are payable in United States dollars, including all applicable taxes. Cazoodle may update Service features and pricing from time to time.
Cazoodle owns and retains all proprietary rights in the Services, including copyrighted materials, trademarks, and other proprietary information. Except for content in the public domain or for which you have obtained written permission, you may not copy, modify, publish, transmit, distribute, perform, display, or sell any proprietary information from the Services.
You may not post, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information from the Services without obtaining prior written consent of the owner of such rights.
You agree not to reproduce, duplicate, copy, sell, trade, resell, modify, create derivative works from, or exploit for any commercial purpose any portion of the Services or its underlying software ("Software"), except as expressly authorized by Cazoodle.
You agree to use the Services only for lawful purposes and in accordance with this Agreement. You must not:
Modify, adapt, or hack any Service, or modify another website to falsely imply association with Cazoodle.
Reverse engineer, decompile, or reuse source code (including any JavaScript) from the Services.
Transmit any worms, viruses, or destructive code.
Use modified versions of the Software or attempt to gain unauthorized access to the Services.
Use automated tools (bots, scrapers, spiders, crawlers) to access or extract data from the Services without written permission.
Use content from the Services to train, test, analyze, or develop any artificial intelligence tool or system without prior written authorization from Cazoodle.
Use the Services for archiving or back-up purposes, as they are not intended for permanent storage.
Use the Services to distribute advertising, promotional material, or solicitation to other users without Cazoodle's approval.
Violate any applicable laws or regulations in connection with your use of the Services.
If Cazoodle determines, in its sole discretion, that you are violating any of these Terms, we may use technical measures to block or restrict your access. Cazoodle also reserves the right to block specific IP addresses at any time to protect the integrity of the Services.
Some features of the Services allow you to upload, submit, store, or share content. You retain ownership of intellectual property rights in content you submit ("Submissions"). You warrant that any Submission is original and authored by you, and that you hold all rights necessary to grant the license below.
By posting a Submission, you grant Cazoodle a royalty-free, perpetual, irrevocable, worldwide, non-exclusive license to publish, reformat, archive, and otherwise use the Submission in connection with the operation of the Services.
You may not use the Services to submit or distribute content that is illegal, defamatory, abusive, hateful, profane, pornographic, threatening, or that contains viruses or other harmful components. Cazoodle has the right — but not the obligation — to monitor, edit, refuse to post, or remove any Submission at any time in its sole discretion.
Cazoodle responds to notices of claimed copyright infringement and terminates repeat infringers. To submit a notice pursuant to the Digital Millennium Copyright Act (17 USC 512(c)), please include:
The signature of a person authorized to act on behalf of the copyright owner;
Identification of the copyrighted work claimed to be infringed;
Identification of the infringing material and its location on the Services;
Contact information sufficient for Cazoodle to reach you;
A statement of good faith belief that the use is not authorized by the copyright owner; and
A statement, under penalty of perjury, that the information is accurate and the submitter is authorized to act on behalf of the copyright owner.

The Services may include content, products, or links provided by third parties. Cazoodle does not endorse and is not responsible for the accuracy, availability, or content of any third-party materials or websites. Links to third-party websites are provided solely for convenience. You agree not to use third-party materials in any manner that infringes the rights of others.
Content available through the Services is provided for informational purposes only and is not intended as a substitute for professional, financial, legal, or other advice. Cazoodle does not guarantee the accuracy, completeness, or usefulness of information on the Services, nor does it endorse any opinions or advice posted by third parties. You should consult a qualified professional for specific concerns. Cazoodle is not responsible for any loss or damage resulting from reliance on content posted through the Services.
THE SERVICES ARE PROVIDED "AS IS" AND ON AN "AS-AVAILABLE" BASIS. TO THE EXTENT PERMITTED BY APPLICABLE LAW, CAZOODLE, ITS SUBSIDIARIES, AFFILIATES, OFFICERS, AGENTS, PARTNERS, AND EMPLOYEES EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
CAZOODLE CANNOT GUARANTEE AND DOES NOT PROMISE ANY SPECIFIC RESULTS FROM USE OF THE SERVICES. CAZOODLE SPECIFICALLY DISCLAIMS RESPONSIBILITY FOR ACCURACY, MARKETABILITY, OR QUALITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICES. CAZOODLE DOES NOT WARRANT RECOVERY OF DATA RESULTING FROM DELAYS OR SERVICE INTERRUPTIONS, NOR COMPATIBILITY WITH ALL SYSTEMS OR HARDWARE.
EXCEPT IN JURISDICTIONS WHERE SUCH PROVISIONS ARE RESTRICTED, IN NO EVENT SHALL CAZOODLE, ITS SUBSIDIARIES, AFFILIATES, OFFICERS, AGENTS, PARTNERS, OR EMPLOYEES BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES — INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA — ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTWITHSTANDING THE FOREGOING, CAZOODLE'S TOTAL LIABILITY TO YOU FOR ANY CAUSE, REGARDLESS OF THE FORM OF ACTION, SHALL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID BY YOU TO CAZOODLE IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIMED INJURY OR DAMAGE.
You agree to indemnify and hold harmless Cazoodle, its subsidiaries, affiliates, officers, agents, partners, and employees from and against any loss, liability, claim, or demand — including reasonable attorneys' fees — arising out of or relating to: (i) your use of the Services in violation of this Agreement; (ii) any breach of your representations and warranties; (iii) your negligent or willful acts; or (iv) any violation by you of Cazoodle's or any third party's rights, including privacy, intellectual property, trademark, or copyright rights. Your obligation to indemnify survives termination of this Agreement.
Cazoodle reserves the right at any time to modify or discontinue, temporarily or permanently, any or all of the Services (or any part thereof) with or without notice. You agree that Cazoodle shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.
This Agreement remains in effect while you use the Services or maintain a registered account. You may cancel your subscription at any time for any reason. Cazoodle may terminate your subscription by providing notice to the email address associated with your account. If Cazoodle terminates your account due to a breach of this Agreement, you will not be entitled to a refund of unused subscription fees.
Termination of the Services will result in deactivation or deletion of your account and forfeiture of all content within your account. Cazoodle reserves the right to refuse service to anyone for any reason at any time. All terms that by their nature survive termination shall remain in effect after termination.
Each party agrees to comply with all applicable export control laws and regulations with respect to the Services and any deliverables. By using the Services, you represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
By using the Services, you acknowledge that your electronic communications (including search queries, messages, file uploads, and other internet activity) will be transmitted through Cazoodle's computer networks located in Illinois and other locations in the United States. Even communications that appear intrastate in nature may result in interstate transmissions, regardless of your physical location.
All disputes arising out of or relating to this Agreement or the Services shall be resolved exclusively by binding arbitration in New York, New York, USA, in accordance with the JAMS Streamlined Arbitration Rules & Procedures, before one commercial arbitrator with substantial experience in intellectual property and commercial contract disputes. Judgment on the arbitration award may be entered in any court of competent jurisdiction. Each party consents to arbitration in New York, New York for these purposes.
The parties consent to the exclusive jurisdiction and venue of the federal and state courts located in the State of New York, USA, without regard to conflicts of law provisions, for any action arising out of or relating to this Agreement.
In any litigation, arbitration, or other proceeding in which Cazoodle uses legal means or a collection agency to enforce its rights under this Agreement, or seeks a declaration of rights or obligations hereunder, Cazoodle shall be awarded its reasonable attorneys' fees and costs.
No Assignment: Neither party may assign this Agreement without consent, except that Cazoodle may assign its rights and obligations to a successor to all or substantially all of its relevant assets or business.
No Waiver: The failure of Cazoodle to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
No Third-Party Beneficiaries: Except as otherwise expressly provided, there are no third-party beneficiaries to this Agreement.
Severability: If any provision of this Agreement is held invalid, the remainder shall continue in full force and effect.
Entire Agreement: This Agreement constitutes the entire agreement between you and Cazoodle regarding the Services and supersedes all prior agreements.
Relationship of Parties: Cazoodle and you are independent parties. Nothing in this Agreement creates a joint venture, franchise, partnership, or agency relationship.
Cazoodle reserves the right to change, modify, add, or remove portions of this Agreement at any time in its sole discretion, without prior notice. Changes are effective upon posting to the applicable Service. Please review this Agreement periodically. Your continued use of the Services after changes are posted constitutes your acceptance of those changes.
